idAItion™ Terms of Service

These Terms of Service (the “Terms”) govern access to and use of idaition.com (the Website), the Redirector Studio (the Portal), our link‑redirect backend (via NFC/QR connected objects and analytics endpoints, the Redirects), and our Online Store (the Store). By accessing or using any of these services, you agree to these Terms. If you do not agree, do not use the services.

2) Key definitions
​

User: a visitor to the Website or a buyer in the Store.

Client: an individual or organization with an active Portal account to create/manage connected objects and access metrics.

End User: an individual who interacts with an NFC/QR object and is redirected to a destination URL.

3) Changes to the Terms
​
We may update these Terms to reflect legal, technical, or business changes. The current version is shown by the “Last updated” date. Material changes may be communicated via reasonable means (banner, email). Continued use constitutes acceptance of the changes.

4) Accounts, security & access
​

To use the Portal you must create an account and keep your information accurate and up to date.

Authentication may use magic links or other secure methods. You are responsible for safeguarding your access and for all activities under your account.

We may suspend or terminate access upon breaches, security risk, or fraud.

5) Plans, subscriptions & billing

Some Portal features are offered under subscription plans. The term, price, limits, and features are described in the then‑current offer.

Payments are processed by Stripe. By subscribing, you authorize recurring charges.

Taxes: prices may exclude applicable taxes, which are added at checkout.

Plan changes: upgrades/downgrades may affect limits (e.g., analytics window) and pricing for the next cycle.

Cancellation: you may cancel anytime in your account; access continues through the end of the paid term, unless stated otherwise.

Refunds: unless required by law, fees are non‑refundable once the term begins and service is provided.

Free trials: if offered, billing starts when the trial ends unless you cancel or as otherwise specified.

6) Connected objects (NFC/QR), slugs & Redirects
​

The Portal enables slug generation and management per Client and connected object, and the definition of destination URLs.

Metrics are associated with such slugs. If you delete a link/slug, aggregated metrics may be retained for statistical and security purposes (see §9).

Event retention: Redirect event logs are stored for 180 days regardless of plan. After that period we aggregate/anonymize or delete the data, unless a longer retention is required by law.

You are responsible for ensuring that destinations and content you point to comply with law and these Terms.

7) Acceptable use & restrictions

You must not:

Use the services unlawfully or infringe third‑party rights (e.g., privacy, intellectual property).

Introduce or distribute malware, attempt unauthorized access to systems or data, or interfere with operation of the Redirects or Portal.

Collect End User data without a lawful basis/consent where required, or build sensitive profiles without authorization.

Circumvent technical limits, manipulate metrics, or use the services for spam, fraud, or abuse.
We may investigate and suspend or terminate access upon suspected violations.

8) Client content & license to use

You may upload brand assets and creatives (logos, palettes, fonts, images, final artwork, and design files for 3D‑printed NFC/QR merchandise).

You represent and warrant that you hold the necessary rights and licenses and that your materials do not infringe third‑party rights.

You grant us a limited, non‑exclusive, worldwide, royalty‑free license to use, reproduce, transform (e.g., layout, digital proofs, routing/toolpaths), and store such materials solely for quoting, production, quality control, delivery, maintenance, support, and service improvement.

Unless expressly agreed, we do not use your assets for advertising without your authorization.

9) Privacy, cookies & retention

Processing of personal data is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms.

Fixed event retention: link/Redirect events are retained for 180 days for aggregated analytics, security, and fraud prevention, irrespective of plan.

We use providers such as MaxMind GeoIP (approximate geolocation), Postmark (transactional email), Stripe (payments), Notion (operations/CRM), Vercel/Render (hosting), PostgreSQL (metrics DB), and AI tools (e.g., Stable Diffusion, ControlNet, IP‑Adapter) and Canva for proofs, under their licenses and DPAs.

10) Intellectual property

idAItion™ and/or its licensors own all trademarks, logos, software, interfaces, designs, and other content of the Website and Portal.

We grant you a limited, revocable, non‑exclusive, non‑transferable license to use the Portal and Redirects in accordance with these Terms.

Reverse engineering, copying, distribution, derivative works, or use outside the authorized scope are prohibited.

11) Store, shipping, returns & 1‑month limited warranty
​
11.1 Personalized goods — no returns
Many products are custom/personalized. Except where required by law, personalized items are not eligible for returns or refunds once production has started, because they are made uniquely for you.

11.2 1‑month limited warranty (3D‑printed physical objects)
We provide a 1‑month limited warranty from the production date for 3D‑printed physical objects covering:

Manufacturing defects, and
-
NFC disconnection/failure not caused by misuse, impact, water immersion beyond stated tolerances, chemical exposure, or tampering.

Remedy: at our option, repair, replacement, or store credit for the affected item(s). To request service, contact projects@idaition.com within the warranty period, include order number, photos/video, and a description of the issue. We may provide an RMA and instructions. Items returned without authorization will not be accepted.

Exclusions: the warranty does not cover:

Normal wear and tear, scratches, color variation, or minor cosmetic artifacts inherent to multi‑color 3D printing.
-
Damage from misuse, accidents, drops, improper cleaning, exposure to heat/UV/solvents/liquids beyond specifications, or unauthorized repairs/alterations.
-
Performance issues arising from customer‑provided designs, logos, or constraints that were approved at proof stage.
-
Any returns based solely on preference changes, campaign changes, or personalization aspects after proof approval.

Shipping costs: unless required by law, customer is responsible for return shipping (if any) and risk of loss until received.

12) Disclaimers
​
Services are provided “as is” and “as available”. We do not warrant they will be uninterrupted, error‑free, or free of vulnerabilities, though we apply reasonable security and continuity measures. To the extent permitted by law, we disclaim all warranties, express or implied (merchantability, fitness for a particular purpose, non‑infringement), except those that cannot be disclaimed.

13) Limitation of liability
​
To the maximum extent permitted by law, idAItion is not liable for lost profits, indirect, special, punitive, or consequential damages. Our aggregate liability for any claim relating to the services is limited to the amount you paid to idAItion in the 12 months preceding the event giving rise to the claim (or USD 100 if no amounts were paid), unless the law requires a different cap. Nothing herein limits liabilities that cannot be excluded by law.

14) Indemnification

You agree to indemnify and hold harmless idAItion, its officers and employees from third‑party claims arising from: (i) your content or redirect destinations, (ii) your breach of these Terms or law, or (iii) your infringement of third‑party rights.

15) Third‑party services
​
Our services may integrate with or link to third parties (e.g., MaxMind, Postmark, Stripe, Canva, AI providers). We do not control their terms and policies. Your use of those services is governed by their terms and policies.

16) Export controls, sanctions & international use
​
You represent you are not located in embargoed countries or on sanctions lists. You will not use the services for purposes prohibited by export control or sanctions laws.

17) Governing law & venue — New York, USA
​
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. The exclusive venue for any dispute arising out of or relating to the services is the state or federal courts located in New York County, New York.
Jury trial waiver (to the extent permitted by law): the parties waive any right to a jury trial.
Arbitration: the parties may agree in writing to submit disputes to binding arbitration administered by a recognized institution under its rules.

18) Termination
​
We may suspend or terminate your access if you breach these Terms or if your use poses risks to security, integrity, or third‑party rights. Upon termination, licenses cease; certain obligations (fees due, confidentiality, liability limits) survive.

19) Electronic communications
​
You consent to receive electronic communications related to the service (e.g., notices, terms changes, security alerts) at the email associated with your account or via the Portal.

20) Miscellaneous
​

Assignment: you may assign your rights only with our written consent; we may assign in case of corporate reorganization.

Severability: if any provision is invalid, the remainder remains in effect.

No waiver: failure to enforce a right is not a waiver.

Entire agreement: these Terms and linked policies constitute the entire agreement between the parties.
