These Terms of Service ("Terms") govern your access to and use of the services provided by idAItion™ ("idAItion", "we", "us", or "our"). These services include: (i) our website at idaition.com (the "Website"), (ii) our link management dashboard known as Redirector Studio (the "Portal"), (iii) physical connected products and our link‑redirect backend via NFC, QR, or virtual links (the "Redirects"), and (iv) our e-commerce platform (the "Store").

By registering for an account, purchasing our physical products, or otherwise accessing our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of our Services.

2. Account Registration & Security

To use our core features, specifically the Portal, you ("the Client") must register for an account. By registering, you agree to:

• Provide accurate, current, and complete organization and contact details.
• Maintain the security of your authentication methods, including magic links sent to your designated email. You are responsible for all activities that occur under your account.
• Promptly notify us at projects@idaition.com if you discover or suspect any security breaches related to the Services.

3. Lead Generation & Client Responsibilities

idAItion provides a bridge between physical interactions and digital data capture through NFC/QR connected objects and our Lead Pages.

• Client as Controller: When using our Lead Pages to capture contact information from your own end users, you act as the Data Controller, and idAItion acts strictly as a Data Processor.
• Compliance with Laws: You are solely responsible for ensuring that your collection, use, and retention of leads (End Users' data) comply with all applicable local, state, and international privacy laws (e.g., GDPR, CCPA). You must ensure your End Users are presented with your own privacy notices.
• Prohibited Use: You may not use our Services to engage in phishing, fraud, malware distribution, or the collection of highly sensitive personal information (e.g., health records, financial data) without proper safeguards and authorization. We reserve the right to audit and automatically scan Lead Page configurations to enforce community standards.

4. Data Storage and Export

To balance operational efficiency with privacy, our data retention operates under specific technical limits:

• Redirect Event Logs: Technical interaction events (timestamp, object slug, referrer) are stored for 180 days. After this period, they are aggregated or deleted.
• Captured Leads: Personal contact information captured through Lead Pages is retained in our secure infrastructure for 90 days. After 90 days, this data is permanently deleted from our servers.
• Protected Exports: Clients can export their lead data via compressed, encrypted files. Decryption keys are sent exclusively to the account holder's registered email to prevent unauthorized access.

5. Artificial Intelligence (AI) Features

idAItion integrates Artificial Intelligence (AI) and Large Language Models (LLMs) to optimize design efficiency and analytical reporting.

• Generative Design: We utilize AI to assist in creating personalized Lead Pages and related creative assets based on Client prompts and brand kits.
• Client Review: You are fully responsible for reviewing and verifying all AI-generated designs, layouts, and copy prior to publishing them in a live commercial environment. idAItion is not liable for inaccuracies, graphical errors, or "hallucinations" generated by third-party AI models.
• Data Privacy in AI: We strictly employ enterprise-grade APIs configured to prevent the use of your proprietary data or End User data (PII) to train public AI models. Only anonymized, aggregated event metadata is utilized for analytical reporting insights.

6. Intellectual Property & Brand Assets

Your Content: By submitting logos, fonts, design files, or brand kits for the creation of 3D-printed merchandise and digital pages, you warrant that you hold all necessary licenses, rights, and permissions to use those materials. You grant idAItion a limited, non-exclusive license to process, display, and modify these assets strictly for the purpose of delivering the requested Service to you.

idAItion IP: The software, algorithms, portal designs, and source code of the idAItion platform remain the exclusive intellectual property of idAItion. You may not reverse-engineer, copy, or distribute our proprietary technology.

7. Commercial Terms & Shopify Integration

Certain components of our Services, including the Store, utilize Shopify's hosting and payment infrastructure. By purchasing physical NFC/QR objects, you agree to Shopify's standard transactional terms and data processing mechanisms, which are used to execute payments and prevent fraud.

All fees are explicitly stated during checkout or within your Portal billing settings. Subscriptions are billed on a recurring basis as outlined in your selected plan. Failure to process subscription payments may result in the suspension of your active Redirects and Lead Pages.

8. Disclaimers & Limitation of Liability

"As Is" Service: The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Services will be uninterrupted, error-free, or entirely secure.

Hardware Limitations: The successful execution of NFC/QR redirects relies on the End User's hardware, operating system, and cellular/Wi-Fi network. idAItion is not liable for failed interactions caused by physical phone damage, outdated OS versions, or poor network connectivity at your location.

Liability Cap: To the maximum extent permitted by applicable law, idAItion's aggregate liability for any claims arising under these Terms shall be limited to the total amount you paid to idAItion during the six (6) months immediately preceding the event giving rise to the claim.

9. Suspension and Termination

We reserve the right to suspend or terminate your access to the Portal and the active status of your connected objects if you violate these Terms, engage in fraudulent activities, or fail to fulfill your payment obligations. You may cancel your account at any time by contacting support, though previously paid hardware and subscription fees are non-refundable outside of our established Refund Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York, NY.

11. Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes via an email notification or an alert within the Portal. Your continued use of the Services following such notification constitutes your acceptance of the updated Terms.
